1. Parties and Acceptance
This End User Licence Agreement ("Agreement") is a legally binding contract between you ("User", "you") and Volta XR Ltd, a company registered in England and Wales ("Volta", "we", "us"), governing your use of Volta Connect Studio and any associated services, APIs, or content (collectively, the "Platform").
By creating an account, clicking "Sign in", or otherwise accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not access or use the Platform.
You must be at least 18 years old and have the legal authority to enter into binding contracts in your jurisdiction. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation, and references to "you" include that organisation.
2. Early Access Programme
Access to the Platform is currently granted on an invitation-only basis as part of Volta's early access programme. Your access is personal, non-transferable, and may be revoked at any time at Volta's sole discretion. You must not share your login credentials, invite others, or attempt to circumvent access controls.
The Platform is provided as pre-release software. It may be incomplete, contain errors, or behave unexpectedly. Features may be added, changed, or removed without notice. Volta makes no commitment to maintain any particular functionality or continue the early access programme.
You may be asked to provide feedback. Any feedback you provide is voluntary and may be used by Volta without restriction, obligation, or compensation to you.
3. Licence Grant
Subject to your compliance with this Agreement, Volta grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal, non-commercial evaluation purposes during the early access programme, or as otherwise expressly agreed in writing with Volta.
Nothing in this Agreement transfers ownership of the Platform, its underlying software, or any intellectual property to you. All rights not expressly granted are reserved by Volta.
4. User-Generated Content
The Platform enables you to create, upload, submit, transmit, or publish content, including but not limited to text, images, graphics, animations, audio, audio-visual material, data, and creative experiences designed for live audiences ("User Content"). This includes content submitted through any template that permits user expression, such as image upload templates, text-based templates, drawing tools, or any other feature that accepts user-supplied input.
4.1 Your Responsibility
You are solely and entirely responsible for all User Content you create, upload, or publish through the Platform, and for any consequences arising from it. Volta does not endorse, verify, or assume any liability for User Content. You represent and warrant that:
- you own or have all necessary rights, licences, consents, and permissions to use and authorise Volta to use the User Content as described in this Agreement;
- the User Content does not infringe any third-party intellectual property rights, privacy rights, personality rights, or any other rights;
- the User Content complies with all applicable laws and regulations;
- the User Content does not contain material that is unlawful, defamatory, obscene, pornographic, harassing, threatening, hateful, discriminatory, or otherwise objectionable;
- the User Content will not cause harm to Volta or any third party.
4.2 Licence to Volta
By submitting User Content, you grant Volta a worldwide, royalty-free, sublicensable licence to use, reproduce, process, transmit, display, and store your User Content to the extent necessary to provide and improve the Platform, comply with legal obligations, and enforce this Agreement. This licence ends when you delete the User Content or your account, except where Volta is required to retain it by law.
4.3 Volta's Rights Over User Content
Volta reserves the right (but has no obligation) to review, monitor, refuse, remove, or restrict access to any User Content at any time, for any reason, without notice and without liability to you. Exercise of this right does not constitute an assumption of responsibility for User Content and does not create any duty to monitor or review content.
5. Content Moderation
The Platform may employ automated content moderation technology, including machine learning classifiers and filter systems, to detect and restrict certain categories of content ("Automated Moderation").
You acknowledge and agree that:
- Automated Moderation is provided on a best-efforts basis only and is not, and cannot be assumed to be, 100% accurate or comprehensive.
- Automated Moderation may fail to detect prohibited content, or may incorrectly flag permitted content. Neither outcome constitutes a representation by Volta about the nature of any content or the adequacy of the moderation system.
- The existence of Automated Moderation does not relieve you of your sole responsibility for the content you publish, nor does it transfer any liability to Volta for User Content that passes through or is not caught by moderation systems.
- Volta does not conduct human review of all User Content and makes no guarantee that harmful or prohibited content will be intercepted before it is displayed to audiences.
- You must not attempt to circumvent, test vulnerabilities in, or deliberately exploit limitations of the moderation systems.
Volta reserves the right to modify, improve, or remove Automated Moderation systems at any time without notice.
6. Prohibited Uses
You must not use the Platform to:
- publish or transmit content that is unlawful, defamatory, fraudulent, obscene, pornographic, violent, hateful, or otherwise offensive or harmful;
- publish content that incites violence, discrimination, or hatred on the basis of any protected characteristic;
- infringe or misappropriate any intellectual property, privacy, or personality rights of any person;
- impersonate any person or entity or misrepresent your affiliation with any person or entity;
- upload or transmit viruses, malware, or any malicious or harmful code;
- interfere with, disrupt, or place unreasonable load on the Platform or its infrastructure;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform;
- access or use the Platform for competitive analysis or to build a competing product;
- sell, resell, sublicense, or otherwise commercially exploit your access to the Platform without Volta's express prior written consent;
- breach any applicable law or regulation, including data protection laws.
7. Confidentiality
As an early access participant, you may be exposed to non-public information about the Platform, including unreleased features, roadmaps, and technical architecture ("Confidential Information"). You agree to keep all Confidential Information strictly confidential, not to disclose it to any third party without Volta's prior written consent, and to use it solely for the purpose of evaluating the Platform.
This obligation survives termination of this Agreement for a period of two (2) years, unless the information becomes publicly available through no fault of yours.
8. Intellectual Property
The Platform, including all software, design, trademarks, logos, and other content provided by Volta, is owned by Volta or its licensors and is protected by intellectual property laws. This Agreement does not grant you any rights in Volta's intellectual property except the limited licence described in Section 3.
You retain ownership of your original User Content. However, by using the Platform you acknowledge that any experiences, interactions, or outputs you create using Volta's proprietary templates, frameworks, or tools may incorporate Volta's intellectual property, and your use of those remains subject to this Agreement.
9. Privacy and Data
Volta processes personal data in accordance with its Privacy Policy, which is incorporated into this Agreement by reference. By using the Platform you consent to such processing. The Privacy Policy explains what data we collect, how we use it, and your rights under UK GDPR and the Data Protection Act 2018.
10. Disclaimers and No Warranties
The Platform is provided "as is" and "as available" without any warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Volta disclaims all warranties, including but not limited to:
- merchantability, fitness for a particular purpose, and non-infringement;
- that the Platform will be uninterrupted, error-free, or free from harmful components;
- that any data stored through the Platform will be secure, retained, or recoverable;
- that the Platform will meet your requirements or expectations.
Nothing in this clause limits any rights you may have as a consumer under applicable mandatory law.
11. Limitation of Liability
To the fullest extent permitted by law, Volta shall not be liable to you for any:
- indirect, incidental, special, consequential, or punitive damages;
- loss of profits, revenue, data, goodwill, or reputation;
- damage arising from User Content published by you or any third party via the Platform;
- failure or delay of third-party services or infrastructure;
- actions or omissions of your audience members or event attendees.
In any event, Volta's aggregate liability to you under or in connection with this Agreement shall not exceed the greater of (a) the amount you have paid to Volta in the twelve months preceding the claim, or (b) £100.
Nothing in this Agreement limits liability that cannot be excluded by law, including for death or personal injury caused by negligence or for fraud.
12. Indemnification
You agree to indemnify, defend, and hold harmless Volta and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- your User Content, including any claim that it infringes a third party's rights or caused harm to any person;
- your use of the Platform in breach of this Agreement;
- your violation of any applicable law or regulation;
- any live event or performance in which you use the Platform, including any claims by audience members or venue operators.
13. Term and Termination
This Agreement commences on the date you first access the Platform and continues until terminated.
Volta may terminate or suspend your access immediately and without notice if you breach any provision of this Agreement, if Volta discontinues the early access programme, or for any other reason at Volta's sole discretion.
You may terminate this Agreement at any time by deleting your account and ceasing to use the Platform.
On termination: the licence granted to you ends immediately; Sections 4.1, 4.2, 7, 8, 10, 11, 12, and 14 survive.
14. Governing Law and Disputes
This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes) shall be governed by and construed in accordance with the law of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute, except that Volta may seek injunctive or other equitable relief in any jurisdiction.
15. General
- Changes: Volta may update this Agreement at any time. Continued use of the Platform after changes are published constitutes acceptance of the revised Agreement. Material changes will be notified by email or in-Platform notice.
- Entire Agreement: This Agreement (together with any policies incorporated by reference) constitutes the entire agreement between you and Volta regarding the Platform and supersedes all prior agreements.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any provision is not a waiver of the right to enforce it later.
- Assignment: You may not assign your rights under this Agreement. Volta may assign freely, including on a merger, acquisition, or sale of assets.
- No Partnership: Nothing in this Agreement creates a partnership, agency, employment, or joint venture relationship between you and Volta.
